  1. General Agreement

By using the services offered by Prolific Studio, you are deemed to have read and agreed to the following terms and conditions. The terminology “Client”, “Customer”, “You”, and “Your” refers to you, the person engaging with Prolific Studio. “We”, “Our”, and “Us” refer to Prolific Studio.

These terms refer to the offer, acceptance, and consideration of payment required for our services, including but not limited to design, artwork, development, animation, video production, documentation, voiceover, music, sound effects, and consultation. All work performed by Prolific Studio is subject to these terms and conditions.

  1. Confidentiality & non-disclosure

Both parties agree to maintain the confidentiality of all proprietary information shared during the collaboration. This includes, but is not limited to, designs, scripts, storylines, characters, assets, business strategies, and technical data.

Prolific Studio will not disclose any project details to third parties without the client’s written consent. This non-disclosure agreement remains in effect even after the completion of the project, unless otherwise agreed upon in writing.

  1. Payment & Milestones

All payments for services must be made as per the agreed-upon payment schedule. We accept payments via credit/debit cards, bank transfers, and checks. Prolific Studio reserves the right to withhold the delivery of final project files until all payments have been made in full.

Milestones:

  1. Upfront Milestone: When the proposal is signed, and all requirements are gathered.
  2. Scriptwriting & Mood board: The script and mood board development stages.
  3. Storyboard & Voiceover: Final approval of the storyboard and voiceover.
  4. First Draft: Completion of the first animation draft for client review.

In the event of late payments, Prolific Studio reserves the right to suspend or delay the project until payment is received. A delay in payment may affect the project’s timeline and could incur additional fees.

  1. Revision Policy

Prolific Studio offers revision services based on the package selected. Clients can avail unlimited revisions at no extra charge unless the changes requested alter the scope of the original agreement (e.g., layout, theme, or major design changes). Such requests will be treated as new services and will incur additional charges.

Turnaround time for revisions will depend on the complexity of the request, and the estimated time will be communicated when the revision is requested.

  1. Project Completion Timeframe

The timeline for project completion depends on its complexity. Prolific Studio will provide an estimated timeframe when the order is placed. This time period covers only one iteration of the development stage. Extensions to the timeline due to delays on the client’s end (such as material delivery, approvals, or payments) may affect deadlines and could result in additional costs.

  1. Refund Policy
  • Refunds are only applicable if requested within the first 7 days of project commencement or initial preview delivery.
  • A partial refund may be offered if the project has not yet advanced beyond certain milestones (e.g., scriptwriting or storyboard development).
  • Refunds are void once the first milestone is approved, and the project enters production.
  • Once final project files have been delivered, Prolific Studio will not entertain any refund requests.

Refund requests will be processed within 60 days and subject to a processing fee of 10%. No refunds will be made if a client fails to respond to deliverables within 30 days, and reactivation fees may apply if the project is to be resumed.

  1. Intellectual Property Rights

Upon full payment, all assets, designs, and final project files will become the exclusive property of the client. Prolific Studio retains the right to include the completed project in its portfolio for promotional purposes unless the client objects in writing.

  1. Non-Solicitation

During the term of this agreement, and for one year following its termination, neither party may solicit or hire any employees, contractors, or representatives of the other party without prior written consent.

  1. Changes to Project Scope

Any changes or additions to the scope of the project after the initial agreement will be considered change requests. These requests must be submitted in writing and will incur additional costs. A revised timeline and updated pricing will be provided based on the complexity of the request.

  1. Limited Liability

Prolific Studio is not responsible for any profit or loss the client experiences as a result of using the services provided. Our liability is limited to delivering the services specified in the project agreement.

  1. Deadlines & Delays

Prolific Studio will make every effort to meet agreed-upon deadlines, but we cannot be held responsible for delays due to external factors, including but not limited to:

  • Delays in receiving client approvals or materials.
  • Acts of God, government restrictions, or natural disasters. Any delays caused by the client’s actions will result in an adjustment of the project timeline.
  1. Force Majeure

Neither party shall be liable for failure to fulfill their obligations due to unforeseen circumstances beyond their control, such as natural disasters, wars, pandemics, or government actions.

  1. Additional Expenses

Any third-party expenses (e.g., licensing fees, stock imagery, fonts, etc.) that are not included in the initial project scope will be billed separately to the client.

  1. Termination of Agreement

Either party may terminate the agreement in writing at any time. However, no refunds will be provided for work that has already been completed. Upon termination, the client must pay for all work completed up until the termination date.

  1. Communication

All official communications must be conducted through [email protected] or the designated project manager’s contact details. Prolific Studio is not responsible for any communication mishaps or delays caused by using unofficial communication channels.

  1. Feedback & Approvals

The client is expected to provide timely feedback and approvals at each stage of the project. Milestone approvals are final, and any additional revisions or changes after approval may result in additional charges.
